Affiliate Agreement

1. Agreement Overview

This Affiliate Agreement ("Agreement") is entered into between Compare Your FX, operated by Inspire Match Ltd ("we", "us", "our", or the "Service"), and you ("you", "your", or the "Affiliate") when you participate in our affiliate program through PartnerStack.

By registering for, accessing, or using our affiliate program, you agree to be bound by this Agreement. If you do not agree to these terms, you may not participate in the affiliate program.

Purpose and Scope

This Agreement governs your participation in our affiliate program, which allows you to earn commissions by referring potential customers to our currency exchange comparison service. The program operates through PartnerStack, a third-party affiliate tracking and management platform.

2. Definitions

For the purposes of this Agreement:

• Affiliate: An independent marketer who promotes the Service through unique tracking links provided by PartnerStack
• Service: The Compare Your FX website and comparison platform
• Provider: FX providers and financial institutions in our partner network
• Lead: A qualified business inquiry submitted through your unique affiliate tracking link
• Qualified Lead: A lead that meets our qualification criteria as outlined in Section 5
• Commission: The payment you earn for successfully generating Qualified Leads
• PartnerStack: The third-party platform we use for affiliate tracking, reporting, and commission management
• Tracking Link: A unique URL containing your affiliate identifier for attribution purposes
• Attribution Window: The 30-day period during which a visitor's actions may be attributed to your referral

3. Affiliate Responsibilities

As an Affiliate, you agree to:

Ethical Promotion

• Promote the Service ethically, honestly, and in compliance with all applicable UK laws and regulations
• Comply with the UK Advertising Standards Authority (ASA) Code of Practice and Guidelines
• Follow Financial Conduct Authority (FCA) regulations regarding financial promotions
• Clearly disclose your affiliate relationship when promoting the Service
• Ensure all promotional content is truthful, accurate, and not misleading

Professional Conduct

• Use only approved marketing materials or create your own compliant materials
• Maintain professional and respectful communication with potential customers
• Protect confidential information shared by us or obtained through the affiliate program
• Monitor and ensure compliance with this Agreement in all promotional activities
• Respond promptly to compliance concerns raised by us

Disclosure Requirements

• Clearly disclose that you may receive compensation for referrals
• Use phrases such as "affiliate link", "partner link", or "I may earn a commission"
• Ensure disclosures are visible and clear without requiring users to follow additional links
• Comply with ASA requirements for transparency in all promotional content

4. Prohibited Activities

The following activities are strictly prohibited and may result in immediate termination:

Deceptive Practices

• Misleading or deceptive advertising about the Service or Providers
• False claims about FX benefits, approval rates, or guaranteed approvals
• Misrepresenting your relationship with us or the Providers
• Impersonating the Service, Providers, or their representatives
• Making income claims or financial guarantees to potential customers

Unauthorised Marketing

• Brand bidding on search engines using "Compare Your FX" or variations
• Bidding on our trademarked terms in paid search campaigns
• Sending unsolicited bulk emails (spam) or SMS messages
• Using our brand name in domain names without written permission
• Direct URL linking or masking our website domain

Fraudulent Activity

• Cookie stuffing or any form of fraudulent tracking manipulation
• Submitting false or fabricated leads
• Self-referrals or referring family members without disclosure and approval
• Incentivising users to click affiliate links through deceptive means
• Creating duplicate accounts to circumvent this Agreement

Intellectual Property Violations

• Unauthorised use or modification of our logos, trademarks, or brand assets
• Creating materials that imply official endorsement without permission
• Using our copyrighted content without proper attribution

5. Commission Structure

Commission Basis

You will earn a commission for each Qualified Lead that you refer to the Service through your unique Tracking Link. Commissions are earned when a lead meets our qualification criteria and is successfully submitted to our Provider network.

Commission Rates

Note: Specific commission rates and payment terms will be communicated to you upon approval into the affiliate program and are managed through your PartnerStack dashboard.

Lead Qualification Criteria

A lead is considered qualified when it meets all of the following requirements:

• Valid Business Information: Complete and accurate business contact details including company name, email, and phone number
• Genuine Inquiry: A legitimate interest in currency exchange services (not spam or test submissions)
• Minimum Business Size: Business with at least £25,000 in monthly invoiced revenue
• New Customer: Not already in our system or previously referred by another affiliate
• UK-Based Business: Operating primarily within the United Kingdom
• Complete Form Submission: All required fields in our quote request form completed
• Cookie Attribution: Successfully tracked through PartnerStack within the 30-day attribution window

Payment Terms

• Payment Schedule: Commissions are paid on a net 30-day basis from lead qualification
• Minimum Payout: A minimum balance of £100 must be reached before payment is issued
• Payment Method: Payments are processed through PartnerStack according to your selected payment method
• Currency: All commissions are paid in British Pounds (GBP)

Commission Adjustments and Clawbacks

Commissions may be adjusted or reclaimed in the following circumstances:

• Fraudulent Leads: Leads determined to be fraudulent or in violation of this Agreement
• Duplicate Leads: Leads already existing in our system from previous referrals
• Disqualification: Leads that do not meet qualification criteria upon verification
• Chargebacks: If we do not receive payment from a Provider for a lead
• Violation of Terms: Any breach of this Agreement

6. Tracking and Attribution

PartnerStack Tracking System

We use PartnerStack for all affiliate tracking, reporting, and commission management. When a visitor clicks your unique Tracking Link, PartnerStack creates first-party cookies to track the referral and ensure proper attribution.

Attribution Model

• First-Click Attribution: The first affiliate to refer a visitor receives credit for any subsequent lead submission within the attribution window
• Attribution Window: 30 days from the initial click on your Tracking Link
• Cookie-Based Tracking: Attribution relies on first-party cookies stored on the visitor's device
• Cross-Device Limitations: Attribution may not work across different devices (e.g., mobile to desktop)

Dashboard Access and Reporting

• You will have access to a PartnerStack dashboard showing real-time tracking data
• Reports include clicks, leads generated, commission earned, and payment status
• Historical data and performance metrics are available in your dashboard
• You are responsible for monitoring your own performance and commission accuracy

Tracking Disputes

If you believe a lead was not properly attributed to your account, you must notify us within 14 days of the lead submission. Include the following information:

• Lead submission date and contact information
• Your Tracking Link used for the referral
• Any supporting evidence (screenshots, email correspondence, etc.)

We will investigate tracking disputes and make a final determination within 30 days. Our decision on attribution disputes is final.

7. Intellectual Property

Limited License

We grant you a limited, non-exclusive, non-transferable, revocable licence to use our trademarks, logos, and brand assets ("Brand Assets") solely for promoting the Service in compliance with this Agreement. This licence terminates immediately upon termination of this Agreement.

Brand Asset Usage Guidelines

• Use Brand Assets only in their original, unmodified form as provided
• Do not alter colours, proportions, or design elements of our logos
• Maintain adequate clear space around logos (minimum 50% of logo height)
• Do not use Brand Assets in a manner that implies official endorsement without written permission
• Do not incorporate our Brand Assets into your own logo or branding

Approval Requirements

You must obtain our prior written approval for:

• Custom marketing materials using our Brand Assets beyond standard affiliate banners
• Press releases or media mentions referencing our brand
• Use of our Brand Assets in offline marketing materials (print, events, etc.)
• Any promotional content that could be construed as an official partnership announcement

Ownership and Reservation of Rights

All Brand Assets, trademarks, service marks, and copyrighted materials remain our exclusive property. Nothing in this Agreement transfers ownership or grants rights beyond the limited licence specified. We reserve all rights not expressly granted in this Agreement.

8. Term and Termination

Agreement Duration

This Agreement begins when you register for the affiliate program and continues until terminated by either party.

Termination Rights

Termination by You:

• You may terminate this Agreement at any time by providing 30 days' written notice
• Send termination notice to contact@compareyourfx.io
• Upon termination, you must immediately cease all promotional activities

Termination by Us:

• We may terminate this Agreement with or without cause by providing 30 days' written notice
• We may terminate immediately without notice for breach of this Agreement
• We may terminate immediately for prohibited activities listed in Section 4
• We reserve the right to refuse or terminate any affiliate at our sole discretion

Immediate Termination Events

This Agreement terminates immediately, without notice, if you:

• Engage in fraudulent activity or prohibited practices
• Violate UK advertising standards or FCA regulations
• Misuse our Brand Assets or intellectual property
• Fail to comply with data protection requirements
• Engage in activity that damages our reputation or business relationships

Post-Termination Obligations

Upon termination of this Agreement, you must:

• Immediately remove all Tracking Links, banners, and promotional materials
• Cease all use of our Brand Assets and trademarks
• Delete any promotional content referencing the Service from your websites and social media
• Return or destroy any confidential information in your possession

Outstanding Commissions

Upon termination, you remain eligible for commissions on Qualified Leads generated prior to the termination date, subject to:

• Leads meeting all qualification criteria
• No breach of this Agreement leading to the termination
• Meeting the minimum payout threshold (£100)
• Standard payment terms (net 30 days)

If termination resulted from your breach of this Agreement, we reserve the right to withhold unpaid commissions.

9. Data Protection and Privacy

GDPR Compliance

Both parties must comply with the UK General Data Protection Regulation (UK GDPR) and the Data Protection Act 2018 in all processing of personal data under this Agreement.

Data Processing Roles

• We act as the Data Controller for all personal data collected through the Service
• You act as a Data Processor when handling personal data on our behalf
• PartnerStack acts as a Data Processor for affiliate tracking data

Affiliate Data Handling Responsibilities

As an Affiliate, you agree to:

• Process personal data only in accordance with our instructions and applicable law
• Implement appropriate technical and organisational security measures
• Not use personal data for any purpose other than promoting the Service
• Not share, sell, or transfer personal data to third parties without authorisation
• Notify us immediately of any data breach or security incident
• Assist us with data subject requests (access, deletion, rectification)

Privacy Policy Compliance

• You must have a compliant privacy policy on any website or platform used for promotion
• Your privacy policy must disclose the use of affiliate tracking cookies
• You must obtain appropriate consent for cookies where required by law
• Refer visitors to our Privacy Policy for information on how we handle their data

Cookie Consent Requirements

You acknowledge that PartnerStack uses first-party cookies for tracking. You must:

• Comply with the Privacy and Electronic Communications Regulations (PECR)
• Inform visitors about affiliate tracking cookies
• Ensure your cookie consent mechanism covers affiliate tracking cookies

10. Compliance and Legal

Governing Law and Jurisdiction

This Agreement is governed by and construed in accordance with the laws of England and Wales. Both parties submit to the exclusive jurisdiction of the courts of England and Wales for any disputes arising from this Agreement.

UK Regulatory Compliance

Financial Conduct Authority (FCA):

• You must comply with FCA regulations regarding financial promotions
• Ensure all promotional content about currency exchange is clear, fair, and not misleading
• Do not make specific financial claims or guarantees
• Include appropriate risk warnings where required

Advertising Standards Authority (ASA):

• All promotional content must comply with the UK Code of Non-broadcast Advertising and Direct & Promotional Marketing (CAP Code)
• Ensure advertisements are legal, decent, honest, and truthful
• Make affiliate relationships clear and conspicuous
• Comply with ASA guidance on digital marketing and influencer content

Consumer Protection

You must comply with:

• Consumer Protection from Unfair Trading Regulations 2008
• Business Protection from Misleading Marketing Regulations 2008
• Consumer Rights Act 2015
• Any other applicable consumer protection legislation

Independent Contractor Relationship

You are an independent contractor and not our employee, agent, partner, or joint venture participant. This Agreement does not create an employment relationship, partnership, or agency. You:

• Have no authority to bind us or make commitments on our behalf
• Are responsible for your own taxes, National Insurance contributions, and regulatory filings
• Are not entitled to employee benefits, holiday pay, or pension contributions
• Must maintain your own insurance coverage as appropriate

11. Indemnification

Your Indemnification Obligations

You agree to indemnify, defend, and hold harmless Compare Your FX, Inspire Match Ltd, our officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your breach of this Agreement or any representation or warranty made herein
• Your violation of any applicable laws, regulations, or third-party rights
• Your promotional activities, marketing materials, or content
• Claims of false advertising, deceptive practices, or misrepresentation
• Intellectual property infringement related to your promotional materials
• Data protection violations or privacy breaches
• Any injury or damage caused by your negligence or wilful misconduct

Defence and Settlement

We reserve the right to assume the exclusive defence and control of any matter subject to indemnification by you. You may not settle any claim without our prior written consent.

12. Limitation of Liability

Liability Cap

To the maximum extent permitted by law, our total aggregate liability to you under this Agreement shall not exceed the total amount of commissions paid to you in the 12 months immediately preceding the event giving rise to liability.

Exclusion of Consequential Damages

In no event shall we be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

• Loss of profits, revenue, or business opportunities
• Loss of data or goodwill
• Cost of procurement of substitute services
• Any other commercial damages or losses

No Warranties on Commission Earnings

We make no representations or warranties regarding:

• The amount of commissions you may earn
• The volume of traffic or conversions you may achieve
• The success or profitability of your promotional efforts
• The continued availability of the affiliate program

Service Availability

We do not guarantee uninterrupted availability of the Service, PartnerStack tracking, or the affiliate program. We are not liable for:

• Technical failures or downtime
• Tracking errors or attribution issues
• Changes to commission structure or program terms
• Termination or suspension of the affiliate program

13. General Provisions

Entire Agreement

This Agreement, together with our Privacy Policy, Terms of Service, and Cookie Policy, constitutes the entire agreement between you and us regarding the affiliate program and supersedes all prior agreements and understandings.

Amendment Process

We reserve the right to modify this Agreement at any time. We will provide notice of material changes by:

• Posting the updated Agreement with a revised "Last Updated" date
• Sending notification through your PartnerStack dashboard
• Emailing you at the address associated with your affiliate account

Your continued participation in the affiliate program after receiving notice of changes constitutes acceptance of the modified Agreement. If you do not agree to the changes, you must terminate this Agreement.

Severability

If any provision of this Agreement is found to be unenforceable or invalid by a court of competent jurisdiction, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

No Assignment

You may not assign, transfer, or delegate your rights or obligations under this Agreement without our prior written consent. We may assign this Agreement in connection with a merger, acquisition, or sale of assets, or by operation of law.

Force Majeure

Neither party shall be liable for any failure or delay in performance due to causes beyond their reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, or shortages of transportation, facilities, fuel, energy, labour, or materials.

Waiver

Our failure to enforce any provision of this Agreement shall not constitute a waiver of that provision or any other provision. Any waiver must be in writing and signed by an authorised representative.

Notices and Communication

All notices under this Agreement must be in writing and sent to:

Survival

The following sections shall survive termination of this Agreement: Sections 4 (Prohibited Activities), 7 (Intellectual Property), 9 (Data Protection and Privacy), 11 (Indemnification), 12 (Limitation of Liability), and 13 (General Provisions).
